This agreement is between Pidgen AI, a California company (“Pidgen”, “we”), and you: the person who installs the Software, or the organisation on whose behalf you install it (“you”). If you install it for an organisation, you confirm that you may accept this agreement for that organisation.
By installing, copying or running the Software you accept this agreement. If you do not accept it, do not install, copy or run the Software.
1. What this agreement covers
“Software” means the Pidgen worker: the Python distribution published as pidgen-worker, the
container image published as public.ecr.aws/pidgen/pidgen-worker, the install script the Pidgen
service serves, their updates, and their documentation.
The Software runs on computers you control. It connects those computers to the hosted Pidgen service and runs coding agents there on your behalf. Your use of the hosted service is governed by the Pidgen Terms of Service, not by this agreement. If the two conflict about the Software, this agreement applies; about the hosted service, the Terms of Service apply.
2. Licence
Subject to this agreement, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable licence to:
- install and run the Software on computers you own or control, only to operate workers that connect to a Pidgen Account you are entitled to use; and
- make the copies reasonably needed for that purpose and for backup.
The Software is licensed, not sold. The hosted service decides at enrollment whether an Account may add a worker; this licence gives no right to enroll one.
3. Restrictions
Except where this agreement expressly allows it, or where applicable law gives you a right that cannot be waived, you may not:
- sell, rent, lease, lend, publish, redistribute or sublicense the Software;
- modify, adapt, translate or create derivative works of the Software;
- decompile, disassemble or reverse engineer the Software;
- remove or alter a copyright, licence or proprietary notice in the Software;
- use the Software with any service other than the hosted Pidgen service; or
- use the Software to build or provide a product or service that competes with Pidgen.
You may change the Software’s configuration files (for example node.yaml, worker.env and the
worker policy) as the documentation describes. That is not a modification under this section.
4. Third-party components
The Software depends on components licensed by third parties under their own terms, and the container image contains some of them. Those terms govern those components. Nothing in this agreement restricts rights you hold under them. Their notices ship with the Software.
The Software starts coding-agent programs that you install or that the container image includes (for example Claude Code, Codex and pi). Each is licensed to you by its own publisher. We do not license those programs to you, and you are responsible for complying with their terms.
5. Your computers, repositories, credentials and costs
- Your control. The Software runs under an operating-system user you choose, on a machine you control. Anyone who administers that machine can read what the Software holds there, including source code it has checked out, agent transcripts, and the worker’s credential.
- Your rights in what it works on. You are responsible for having the rights needed to let the Software, and the coding agents it starts, read and change the repositories you connect.
- Your model providers. The coding agents use model-provider accounts and credentials that you configure on your machine. Pidgen never receives those credentials. You are responsible for complying with each provider’s terms and for everything a provider charges you, including charges from work the hosted service assigns to your worker.
- What the agents do. Coding agents run commands and change files on your machine with the permissions of the user the Software runs as. You are responsible for choosing that user, the machine, and the limits you place on them.
6. What the Software sends to Pidgen
The Software sends the hosted service only the following:
- It sends: agent session transcripts and events for each Ticket it runs (a transcript can quote code the agent read); artifacts the agent produced; change snapshots; pull-request and branch facts; and facts about the machine (a host identifier, the worker’s version, the versions of required tools and coding-agent programs, whether each coding agent is logged in, and whether the machine’s git credentials reach each repository).
- It never sends: model-provider credentials; git credentials you configured on the machine; files outside the workspaces it manages.
The Pidgen Privacy Policy says how we handle what the hosted service receives. Coding agents talk to your model provider directly. That traffic does not pass through Pidgen.
7. Updates and supported versions
- The Software does not update itself. You install updates.
- The hosted service supports the current and the previous minor version of the worker protocol. It refuses a worker that speaks neither and tells you to upgrade.
- We announce a protocol-breaking change at least 30 days before it takes effect.
- We may change or discontinue the Software. If we discontinue it, this licence ends under section 9.
8. Feedback
If you send us suggestions about the Software, we may use them without restriction and without owing you anything. This does not give us any right in your source code or other content.
9. Term and termination
- This licence lasts until it ends under this section.
- It ends automatically if you breach this agreement, or when you are no longer entitled to use any Pidgen Account.
- We may end it on 30 days’ notice, or immediately if continued use would break the law or harm the service or other customers.
- When it ends, you must stop running the Software and delete every copy you control.
- Files left on your machines are yours to remove. Workspaces, repository clones, agent transcripts and caches that the Software or the coding agents created on your machines stay there when this licence or your Account ends. Pidgen cannot delete them and does not claim to.
- Sections 3, 4, 5, 8, 10, 11, 12 and 13 survive the end of this licence.
10. Ownership
We and our licensors keep all right, title and interest in the Software, including every copy. You keep all right, title and interest in your repositories, your content and your credentials.
11. No warranty
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE IS ERROR-FREE, THAT IT WILL RUN WITHOUT INTERRUPTION, OR THAT THE OUTPUT OF ANY CODING AGENT IS CORRECT OR SAFE TO MERGE. YOU ARE RESPONSIBLE FOR REVIEWING WHAT THE AGENTS PRODUCE BEFORE YOU RELY ON IT.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- NEITHER WE NOR OUR LICENSORS ARE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR MODEL-PROVIDER CHARGES, ARISING FROM OR RELATED TO THE SOFTWARE, WHATEVER THE LEGAL THEORY.
- OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THE SOFTWARE IS LIMITED TO THE GREATER OF USD 100 AND THE FEES YOU PAID US FOR THE HOSTED SERVICE IN THE 12 MONTHS BEFORE THE CLAIM.
Nothing in this agreement limits liability that cannot be limited by law.
13. General
- Governing law and venue. This agreement is governed by the laws of the State of California, United States, excluding its conflict-of-laws rules. The state and federal courts located in California have exclusive jurisdiction over any dispute arising from it, and each of us consents to that jurisdiction.
- Export. You will comply with the export-control and sanctions laws that apply to your use of the Software.
- US Government users. The Software is “commercial computer software” and is licensed with only the rights this agreement grants.
- Assignment. You may not assign this agreement without our written consent. We may assign it to a successor to our business.
- Changes. We may publish a new version of this agreement with a new release of the Software. Installing or continuing to run that release accepts the new version.
- Entire agreement. This is the entire agreement between you and us about the Software. If a provision is unenforceable, the rest stays in effect.
